Terms of Service
These terms explain what you can expect from Retaily, what we expect from you, and how connected platforms, AI drafts and approvals work.
1. The agreement
These terms are an agreement between Oddeves Global Pvt Ltd (“Retaily”, “we”) and the business that creates a workspace (“Customer”, “you”), and they apply to everyone who uses that workspace. By creating an account or using Retaily, you accept these terms and our Privacy Policy. If you use Retaily for a business, you confirm you are authorised to accept these terms on its behalf.
2. Accounts and workspaces
- You must be at least 18 and give accurate information when you sign up.
- Keep sign-in details confidential. You are responsible for activity in your workspace, including by members you invite.
- The workspace owner controls who has access and what each role can do, including who may connect platforms, publish content and approve spending.
- Tell us promptly at info@retailyworkspaces.com if you suspect unauthorised access.
3. Connected platforms
Retaily works with third-party platforms such as Facebook, Instagram, Google, LinkedIn, X, Pinterest and Snapchat. When you connect one, you authorise us to access it and act on it as you direct — for example to publish posts, read results, reply to messages and reviews, and manage ad campaigns.
- You must have the right to connect each account and follow each platform’s own terms and policies, including its advertising policies.
- Platforms can change or withdraw their services, features and limits at any time; we are not responsible for their availability or decisions.
- Advertising spend is billed by the ad platform to your account there. Retaily does not hold or pay ad budgets.
- You can disconnect a platform at any time in Retaily or in the platform’s settings.
4. Your content
You own the content and data you put into Retaily (“Customer Content”). You give us a limited licence to host, copy, process, transmit and display it only as needed to provide and support the service, including publishing it to the platforms you choose.
You are responsible for Customer Content and for having the rights and consents needed for it — including consent to contact people by email, SMS or WhatsApp, and the right to use images, music and trademarks you publish.
5. AI drafts and approvals
Retaily can draft posts, replies, ads and summaries with AI. AI output can be inaccurate or unsuitable, so treat it as a draft. Nothing is published, sent or spent until a person in your workspace approves it, and you are responsible for what you approve.
6. Acceptable use
You must not use Retaily to:
- send spam or messages to people who have not agreed to receive them;
- publish content that is unlawful, misleading, defamatory, hateful, or that infringes others’ rights;
- collect or process personal data unlawfully;
- interfere with, probe or overload the service, or get around its security or usage limits;
- resell or provide the service to others without our written permission.
We may remove content or suspend access that breaks these rules, and will tell you when we reasonably can.
7. Plans and fees
Features, usage limits and any fees for your plan are shown in Retaily when you choose it. Paid plans are billed in advance and fees are exclusive of GST unless stated. We will give at least 30 days’ notice of price changes, which apply from your next billing period.
8. Availability and changes
We work to keep Retaily available and secure, but it may occasionally be interrupted for maintenance or reasons outside our control. We may improve or change features; if we remove a major feature you rely on, we will give reasonable notice.
9. Ending the agreement
You can stop using Retaily and close your workspace at any time. We may suspend or end access if you seriously or repeatedly break these terms, if required by law, or if continuing would harm the service or others.
After closure you can ask for an export of your Customer Content within 30 days. We then delete it as described in the Privacy Policy.
10. Disclaimers
Retaily is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties such as merchantability and fitness for a particular purpose. We do not guarantee any marketing outcome, reach, ranking or return on ad spend.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental or consequential losses, or for lost profits, revenue or data. Our total liability for any claim relating to Retaily is limited to the fees you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.
12. Indemnity
You will defend and compensate Retaily against third-party claims arising from Customer Content, your use of connected platforms, or your breach of these terms.
13. Governing law and disputes
These terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction. Before going to court, both parties will try in good faith to resolve a dispute by discussion for 30 days.
14. Changes to these terms
We may update these terms. We will post the new version here with a new date and, for material changes, notify workspace owners at least 15 days in advance. Using Retaily after changes take effect means you accept them.
